General terms and conditions of Groundies GmbH

1. Validity

All deliveries, services and offers from Groundies GmbH are subject to these terms and conditions. Differing conditions from the customer that have not been expressly acknowledged are non-binding, even if they have not been expressly contradicted.

2. Offer and conclusion of contract

Unless otherwise agreed, information in advertising texts and cover letters should not be viewed as guaranteed properties or guarantees. The presentation of the products in the online shop does not represent a legally binding offer, but rather a non-binding online catalog. By clicking on the "Buy" button, you place a binding order for the goods contained in the shopping cart. Confirmation of receipt of the order follows immediately after sending the order and does not constitute acceptance of the contract. We can accept your order by sending an order confirmation by email or by delivering the goods within two days.

3. Right of withdrawal

You have the right to withdraw from this contract within thirty days without giving any reason.

The cancellation period is thirty days from the day on which you or a third party named by you who is not the carrier took possession of the goods.

In order to exercise your right of withdrawal, you must inform us (Groundies GmbH, Heinrich-von-Stephan-Straße 17, 79100 Freiburg, sales@groundies.com, telephone +49 761 45 89 29-52) of your decision to withdraw from this contract by means of a clear statement (e.g. a letter sent by post or an email). You can use the attached sample cancellation form, although this is not mandatory.

In order to meet the cancellation period, it is sufficient that you send the notification of your exercise of the right of cancellation before the cancellation period expires.

Consequences of revocation

If you revoke this contract, we must repay to you all payments that we have received from you, including delivery costs (with the exception of the additional costs resulting from your choosing a type of delivery other than the cheapest standard delivery offered by us), immediately and at the latest within fourteen days from the day on which we received notification of your revocation of this contract. For this repayment we use the same payment method that you used for the original transaction, unless something different was expressly agreed with you; under no circumstances will you be charged any fees as a result of this repayment. We may refuse repayment until we have received the goods back or until you have provided evidence that you have sent the goods back, whichever is the earlier.

You must return or hand over the goods to us immediately and in any case no later than fourteen days from the day on which you notify us of your cancellation of this contract.

In Germany, Austria, France, Belgium and the Netherlands, you bear the direct costs of returning the goods if the price of the item to be returned does not exceed 40 euros. In all other countries you bear the direct costs of returning the goods.

You are only liable for any loss in value of the goods if this loss in value is due to the handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

Note

The right of withdrawal does not apply if you acted in the exercise of your commercial or independent professional activity (orders by entrepreneurs).

The right of withdrawal does not apply to contracts for the delivery of goods that are not prefabricated and for the production of which an individual selection or determination by the consumer is decisive or which are clearly tailored to the personal needs of the consumer (§ 312g BGB).

We ship with DHL.

5. Prices and Payment

All prices include VAT and plus shipping costs.
Unless otherwise agreed, invoices are due for payment within 10 days of the invoice date without deductions. In the event of late payment, statutory default interest will be charged. Further claims remain reserved.
The buyer is only entitled to offset if his counterclaims are legally established, undisputed or recognized by Groundies GmbH.

6. Retention of title

The goods remain the property of Groundies GmbH until full payment has been made.

7. Notification of defects, warranty

There are statutory warranty rights for all goods from our shop. However, for commercial customers, the limitation period for claims for defects is 12 months, calculated from the transfer of risk.

8. Limitation of Liability

Claims for damages arising from the violation of contractual secondary obligations and from unlawful acts are excluded against Groundies GmbH, unless there is intentional or grossly negligent behavior or the violation of an essential contractual obligation or of the body or health of a person. This also applies if compensation for indirect or consequential damage is required. The ProdHG remains unaffected.

9. Place of performance, place of jurisdiction, choice of law

Place of performance and place of jurisdiction is Freiburg if the customer is a merchant or a legal entity under public law. The contractual relationship is subject solely to German law, excluding the UN Convention on Contracts for the International Sale of Goods.

10. Severability clause

If a clause of these terms and conditions is ineffective, the effectiveness of the remaining terms and conditions remains unaffected.

11. Alternative dispute resolution in accordance with Article 14 Paragraph 1 ODR-VO and Section 36 VSBG:

The European Commission provides a platform for online dispute resolution (OS), which you can find at http://ec.europa.eu/consumers/odr/ find. We are neither obliged nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
